為協助您更好地理解吾微而智股份有限公司(以下稱[本公司])軟體與雲端服務協議,我們提供了此概述。本協議包括:
第 1 條 – 結構
1.1 協議的結構。本協議是您(個人或單一實體)與[本公司]之間締結的法律合約。本協議賦予您使用軟體的權利。訂購單確認本協議適用的軟體,包括您與[本公司]達成一致的任何特定條款。每份訂購單均為本協議的一部分並納入本協議中。若訂購單與本協議產生衝突,則以訂購單為準。若訂購單明確引用並納入了雙方之間的現有協議,則僅當該協議與本協議第 1 條 B 部分的一般商業/法律條款發生衝突時,才以該協議的規定為準。
接受。 只有在您接受並遵守本協議中所有條款和條件的前提下,[本公司]才會向您提供軟體和/或雲端服務。只要下載、安裝、複製或以其他方式使用軟體和/或雲端服務,即表示您接受並同意受本協議條款的約束。若您代表他人、公司或其他法律實體接受這些條款,則表示您聲明並保證您有充分權力讓所代表的個人、公司或法律實體受這些條款的約束。若您不同意這些條款,請勿下載、安裝、複製、存取或使用軟體和/或雲端服務。
第 1 條 – 通用條款
A 部分 – 特定軟體法律條款
1.2 常用術語;定義。
1.2.1 關聯公司:由一方直接或間接控制,或與另一方共同控制之下的實體,其中「控制」係指佔相關實體當時已發行總權益百分之五十 (50%) 或以上的擁有權、投票權或類似權益。
1.2.2 協議:本軟體與雲端服務協議、使用條款及任何訂購單。
1.2.3 雲端服務:在訂購單中確認的軟體即服務產品,可供您透過網路存取。
1.2.4 輔助軟體:一般不包含在標準軟體產品中,但為了方便您使用而提供的範例、實用程式、插件、使用者介面元件和/或報告,無需另外支付費用。
1.2.5 機密資訊:(i) 本軟體;(ii) 本軟體中包含的技術、想法、專有技術、文件、流程、演算法和商業機密;(iii) 與本軟體相關的任何軟體金鑰;(iv) 書面或電子媒體中被認定為「機密」、「專有」或在披露時具有類似圖例的任何其他資訊;以及 (v) 由您或為您提交至雲端服務的電子資料和資訊。
1.2.6 指定地點:[本公司]在訂購單、啟用憑證或雙方之間的其他協議中指定由您擁有和操作的地點、設備和/或應用程式。
1.2.7 文件:[本公司]通常向您提供或供應的與軟體相關的最新文件。
1.2.8 設備:任何實體資產、子元件或其組合。
1.2.9 功能:附加功能。
1.2.10 惡意程式碼:軟體病毒、蠕蟲或任何其他電腦程式碼、檔案或程式,旨在停用、中斷、破壞、重新導向、監視其他使用者的使用、限制或以其他方式抑制任何電腦軟體、硬體或電信設備的功能。
1.2.11 內部部署軟體:在使用軟體的個人處所或設施內的電腦或裝置上安裝和執行的軟體,而非雲端服務。
1.2.12 訂購單:由[本公司]提供的訂購文件,包括報價單,其中列明所購買的軟體、使用期限、使用類型以及您與[本公司]達成一致的其他相關條款。
1.2.13 授權使用者:經您授權的個人,或存取和/或使用軟體的裝置,可根據本協議和適用訂購單的條款使用本軟體。授權使用者僅限於為支援您的內部業務目的而使用本軟體的您的員工、顧問、分包商、供應商、業務夥伴和客戶。
1.2.14 試產版軟體:[本公司]可能會為您提供測試版或其他試產版軟體。
1.2.15 經銷商/VAR 產品:系統整合商(「SI」)或加值經銷商(「VAR」)已整合本軟體的產品。
1.2.16 吾微而智股份有限公司:[本公司],一間臺灣公司,及其關聯公司(包括訂購單中確定或執行訂購單的關聯公司),主要營業地點為新北市中和區板南路661號5樓。
1.2.17 軟體:[本公司]的電腦軟體、程式、技術、雲端服務、輔助軟體、韌體、相關媒體、相關文件,及其任何更新、升級或增強,或其部分內容,包括修訂或修改。
1.2.18 支援服務:[本公司]當時的維護和支援計劃中所述的支援和維護服務,包括軟體的更新、升級或增強。
1.2.19 使用期限:啟用憑證或訂購單中指定的期限。
1.2.20 第三方軟體:與本軟體一同提供或作為本軟體一部分的非[本公司]品牌軟體。
1.2.21 試用版軟體:軟體(包括雲端服務)以有限試用的方式免費提供。
1.2.22 使用類型:對於本機安裝的軟體,為具名使用、裝置用途、站點使用、基於容量的使用、功能使用或訂閱授權,而對於雲端服務,則指基於訂閱的存取。「使用類型」可單獨使用,也可與其他「使用類型」結合使用。
1.2.23 您:購買本軟體的個人或單一實體。
1.3 授權使用。
1.3.1 授權或使用權。在您遵守本協議的所有條款和條件、及時支付任何適用的授權費或訂閱費,以及遵守任何啟用程序的前提下,[本公司]及其第三方授權人授予您有限的、個人的、不可轉讓的、非專屬的授權,或者,若是雲端服務,則授予您在使用期限內根據文件和相關訂購單下載、安裝和/或使用本軟體的權利,以用於您自己的內部業務目的。您有責任確保您的員工及授權使用者遵守本協議的所有相關條款,任何未遵守的行為將構成您的違約。授權使用者對軟體的任何使用僅限於您的內部業務目的。
1.3.2 經銷商/VAR 產品。若您是SI 或VAR,且您已將本軟體整合在經銷商/VAR 產品中,以便轉售給您的最終客戶,而非作為獨立的產品或服務,除非[本公司]在您的啟用憑證中另有授權,否則您只能在您的最終客戶接受本協議,且您已完成 [本公司]書面提供的軟體轉讓註冊通知後,才能將本軟體轉讓給最終客戶。若您是接收經銷商/VAR 產品的最終客戶,則您承認並同意:(i) 您已接受本協議並受其約束;(ii) SI或VAR 無權修改或修訂本協議,也無權就軟體提供任何保證或陳述;(iii) [本公司]對軟體的唯一義務在本協議中規定;(iv) 若經銷商/VAR產品存在任何缺陷,或與軟體不相容,您只能向 SI或VAR求助。
1.3.3 軟體變更。[本公司]或其供應商可能會不時對軟體進行變更。雲端服務的變更將由[本公司]部署。對於內部部署軟體的變更,會根據您將安裝的有效支援服務協議提供給您。若您已支付軟體費用,[本公司]將盡合理努力提前通知你有關軟體的任何重大變更。
1.3.4 管理。使用本軟體可能需要一個使用者帳戶。您必須對您的使用者帳戶下發生的所有活動負責。您有責任識別和驗證所有使用者、批准這些使用者的存取,並控制未經授權對您使用者帳戶的存取。您有責任維護使用者帳戶資訊和密碼的機密性。[本公司]將依賴從任何使用您的使用者帳戶和密碼的個人或實體處收到的任何資訊,且[本公司]不會因依賴該等資訊而承擔任何責任。[本公司]不對您的使用者(包括未經授權存取軟體的個人)造成的任何損害負責。若您發現任何未經授權使用您的密碼或使用者帳戶的情況,有責任盡快通知[本公司]。
1.3.5 授權使用者。您對授權使用者使用本軟體的所有行為負責。您有責任確保授權使用者遵守本協議和適用訂購單的所有相關條款。任何未能遵守的行為將構成您的的違約。任何授權使用者均不得視為本協議下的第三方受益人。
1.4 限制。
1.4.1 您不得對本軟體進行反向組裝、反向工程、反編譯、修改、翻譯或創造衍生作品或做出改進,除非且僅在適用法律允許的範圍內進行。您不得規避或繞過軟體或雲端服務中的任何技術限制,包括但不限於任何密碼或其他安全保護。
1.4.2 除非在此明確說明,否則您不得以任何理由向任何第三方轉授、出租、轉售、租賃、出借、轉讓或以其他方式提供本軟體或本軟體的任何特性或功能。
1.4.3 您不得將本軟體用於基準測試或其他競爭目的。
1.4.4 您不得移除、最小化、封鎖或修改本軟體中包含的[本公司]或其授權方的任何日誌、商標、版權或其他通知。
1.4.5 您不得使用本軟體製作軟體訓練資料以供銷售、授權、使用或散佈,惟您內部使用的文件和您的軟體應用程式的螢幕擷取畫面除外。您對您所產生的任何此類訓練材料負有全部責任。
1.4.6 您不得在違反訂購單中約定的計量和使用限制(包括授權使用者)的情況下使用本軟體。
1.4.7 您不得使用硬體、軟體或程式技術來彙集連線、重新路由資訊,或減少直接存取或使用本軟體所需的授權數量。
1.4.8 您不得使用本軟體處理或儲存適用政府法律或法規所定義的政府機密、絕密或受控資料。
1.4.9 您不得將任何工具、介面、實用程式、程式設計技術或命令列用於未經 [本公司]授權的任何目的。
1.4.10 您不得將本軟體中包含的自動化介面或其他程式介面與未經[本公司]書面授權的任何第三方軟體結合使用,包括但不限於變更管理系統。
1.5 試產版軟體;試用版軟體;輔助軟體。
1.5.1 出於您的便利考慮,[本公司]可能會向您提供試產版軟體的存取權,方便預覽新的功能和能力;試用版軟體,方便測試和評估您可能會使用的軟體;或輔助軟體,用於範例目的或提供額外的補充功能。試產版軟體、試用版軟體及輔助軟體可能附有額外的使用條款。您必須接受這些條款(如有)才能使用該軟體。試產版軟體、試用版軟體和輔助軟體的用途由您自行決定。
除非雙方另有書面約定,否則自試用版軟體首次向您提供之日起,您擁有軟體三十 (30) 天的使用權。
1.5.2 您可以修改以範例或可重複使用的應用程式程式碼的形式存在的輔助軟體,並製作其衍生作品,但僅限於與提供了輔助版軟體的軟體相關的用途。
1.5.3 試產版軟體、試用版軟體和輔助軟體的所有使用均受本協議中與軟體相關的條款和條件的約束;但所有試產版軟體、試用版軟體和輔助軟體均按 「現狀」提供,且不保證提供軟體的技術支援和未來改進,也不將其納入[本公司]的標準軟體支援服務。[本公司]拒絕承擔與試產版軟體、試用版軟體和輔助軟體有關的所有責任和保證,包括對適售性、特定用途適用性、擁有權和非侵權性的所有默示保證和條件。本節下對軟體的所有使用風險和責任均由您自行承擔。根據本節,您對本軟體的唯一且排他補救措施以及我們的唯一且排他的責任將是您停止使用本軟體。您放棄就試產版軟體、試用版軟體和輔助軟體向[本公司]提出目前已知或日後發現的所有索賠。
1.6 第三方軟體或服務。本軟體可能併入、嵌入、包含或捆綁有第三方軟體或服務,而第三方軟體或服務要求您接受通知和/或附加條款和條件並受其約束。目前所需的第三方通知和/或附加條款和條件已在相關訂購單,或軟體的「說明」或「關於」螢幕和 license.txt 或 readme 文字檔案中識別,或識別為雲端服務的一部分,成為本協議的一部分並透過引用併入本協議,或在文件中提供。此外,單獨購買或捆綁的第三方產品可能會附帶相關的第三方條款和條件,並受其約束。接受本協議即表示您同意檢閱該等條款與條件(如有),且您使用本軟體即表示您接受該等條款與條件。
1.7 支援服務。支援服務(如有)將在適用的訂購單中列明。
1.8 有限保證;專屬補救措施;免責聲明。
1.8.1 有限保證。第 3 條第 3.6 款提供[本公司]對軟體的專屬有限保證(「有限保證」)。若出現發生違反有限保證的情況,[本公司]的唯一義務和責任以及您的唯一補救措施應是 [本公司]盡商業上合理的努力 (i) 修復或替換軟體,使其符合相關有限保證;(ii) 確定或提供可實現基本相同結果或功能的變通方法或替代方法;或者,若[本公司]未能解決上述 (i) 或 (ii) 中所述的問題,則 [本公司]可終止本協議和與不合格軟體有關的相關訂購單,並向您退還不合格軟體的任何預付費用中按比例分攤的部分。在此情況下,您使用相關軟體的授權將立即終止。若您試圖以任何方式修改本軟體,或以非文件所述方式使用本軟體,或違反本協議,則前述保證無效。[本公司]對於本軟體的執行不會中斷或不含錯誤,或本軟體所包含的功能將符合或滿足您的預期用途或要求,不作任何明示或默示的聲明或保證;您對根據使用本軟體所獲得的資訊而作出的決定或採取的行動承擔全部責任。此外,由於入侵和攻擊網路的新技術不斷發展,[本公司]不保證本軟體或使用本軟體的任何設備、系統或網路不會受到入侵或攻擊。
1.8.2 在法律允許的最大範圍內,有限保證取代所有其他明示或默示保證,且 [本公司]及其授權人不承擔任何及所有默示保證或條件,包括(但不限於)任何有關擁有權、未侵犯第三方權利、適售性或特定用途適用性的保證。[本公司]或其授權代表所提供的任何口頭或書面資訊、行銷或宣傳資料或建議,均不構成任何額外的保證,或以任何方式增加本節所約定的明確保證範圍,或修改[本公司]在本協議下的義務。
1.8.3 本軟體可用於透過網路存取及傳輸資訊,或與連接至網路的硬體及其他產品一起使用。您承認並同意,[本公司]及其授權方並不營運或控制網路,且:(I) 惡意程式碼;或 (II) 未經授權的使用者(如駭客)可能試圖存取並損害您的資料、機密資訊、網站、電腦或網路。[本公司] 及其授權方不對這些活動負責。
1.8.4 某些司法管轄區不允許排除默示保證,因此上述排除條款可能不適用於您。本保證賦予您特定的法律權利,您也可能擁有其他權利,這些權利因司法管轄區而異。
1.9 智慧財產權。
1.9.1 軟體。本軟體受著作權法及其他智慧財產權法律和條約的保護。[本公司]或其授權方保留本軟體(包括授權複本)的擁有權、版權和其他智慧財產權。除本協議授予的有限授權外,您不會獲得任何明示或默示的權利。本軟體以權利授予方式授權或提供,而非出售。本協議的任何條款均不構成我方放棄根據中華民國或國際版權法或任何其他法律享有的權利。
1.9.2 回饋。您可以向[本公司]提供有關本軟體的建議、意見或其他回饋。回饋純屬自願。[本公司]可能將回饋意見用於任何目的,包括改進軟體,而不承擔任何類型的義務或限制。
1.9.3 資料使用。除下文授予的有限授權外,您保留向本軟體提供的任何資料和資訊(「您的資料」)的所有權利、擁有權和權益,包括但不限於使用資料。您授予[本公司]非排他、已付清費用、全球性、買斷式的授權:(i) 在與[本公司]根據本協議提供的軟體和/或服務相關的情況下使用您的資料,包括改進[本公司]的產品、軟體和服務;(ii) 將您的資料用於[本公司]的銷售和服務,前提是您的資料經過匿名處理,且不包括您的機密資訊或個人資料;以及 (iii) 為[本公司]的業務目的,使用從您的資料(包括從您使用本軟體和任何相關用戶端、裝置和伺服器的資料)中獲得的統計和彙總資料,前提是您的資料經過匿名處理,且不包括您的機密資訊或個人資料。您有責任取得所有權利、許可、執照及授權,以提供您的資料供本協議預期之用途。
1.10 期限與終止。
1.10.1 初始和續約期限。本協議於您簽訂訂購單時或您下載、安裝、複製、存取或以其他方式使用本軟體時生效,並在適用的啟用憑證或訂購單中約定的使用期限(「初始期限」)內保持有效,除非按本協議規定提前終止。在初始期限之後,每個軟體產品的使用期限將自動續約,續約期限列於續期訂購單中(各稱「續約期限」),除非任何一方在當時待定期限到期前至少九十 (90) 天以書面通知另一方其不打算續期及終止本協議。使用期限係指本節約定的初始期限和任何續約期限。
1.10.2 終止。在提前九十 (90) 天發出書面通知後,您可隨時透過以下方式終止本協議:(i) 銷毀您擁有的所有軟體複本,或 (ii) 停止使用雲端服務;除非訂購單中另有規定,否則所有已付費用均不予退還,訂閱費用將在訂購期限的剩餘時間內到期。若您違反本協議的任何條款,且未能在[本公司]傳送通知後的三十 (30) 天內補救該違約行為(除非該違約無法補救,在此情況下將立即終止),則[本公司]可能會終止本協議。您同意在本協議終止時停止使用本軟體,並向[本公司]歸還您擁有的本軟體的所有複本或予以銷毀。若本軟體是以訂閱服務或有限使用期限的方式授權給您,本協議將於使用期限屆滿後終止。終止本協議將會自動終止在此處授予的所有許可。本協議中與智慧財產權保護、匿名和統計資料的使用、保密、免責聲明和責任限制有關的保護條款,以及本協議中為達成其基本目的而必須繼續有效的任何其他條款,在本協議終止或到期後繼續有效。本協議的任何終止或到期將不會解除您在當時尚未到期的使用期限結束前的付款義務。惟若因[本公司]違約或根據第一條的保證和賠償部分而終止,[本公司]將向您退還任何預付費用的未使用部分。此類退款將構成您唯一且排他的補救措施,以及 [本公司]唯一且排他的責任。
1.10.3 資料私隱。[本公司]根據我們的隱私權政策或條款和條件處理您的資料。若任何適用法律在未有附加條款和條件的情況下限制或阻止收集、使用或以其他方式處理您的資料,則您同意受[本公司]當時適用的隱私權政策或條款的約束,該隱私權政策或條款與[本公司]收集、使用和以其他方式處理您的資料有關,且可能會不時進行修訂。該隱私權政策或條款為本協議的一部分,並受本協議管轄,如同本協議中所載。
1.10.4 一般資訊。本協議是[本公司]與您之間完整且排他的協議,取代了先前所有與軟體相關的書面或口頭協議。您提供的任何採購訂單或其他類似文件中的任何額外或不同的條款和條件對[本公司]均無約束力,且所有此類條款和條件均被視為已遭拒絕。除非由[本公司]的正式授權代表簽署的書面文件,否則不得變更或修改本協議。若有管轄權的法院基於任何原因判定本協議的任何條款或其部分無法執行,則該條款應在最大允許範圍內執行,以實現當事雙方的意圖,而本協議的其餘部分應繼續完全有效。本協議可以用電子形式接受,您的接受在雙方之間具有約束力。您同意,您不會因為本協議是以電子形式接受而對其有效性或可執行性提出異議。
B 部分 – 一般商業/法律條款
1.11 費用和稅收。您應在發票開具之日起三十 (30) 天內向[本公司]支付適用的軟體費用,並使用[本公司]確定的或雙方在訂購單中另行明確協定的付款條件。除非本協議或訂購單中明確規定,否則所有費用均不予退還和取消。
1.12 責任限制。
1.12.1 在適用法律允許的最大範圍內,[本公司]或其第三方授權人在任何情況下對任何特殊、附帶、間接、懲罰性或衍生性損害(包括但不限於利潤損失、機密或其他資訊或資料損失、業務中斷、儲蓄損失、私隱權損失,以及任何其他金錢損失或其他損失)概不負責,即使[本公司]或其經銷商已被告知發生此類損害賠償的可能性。
1.12.2 某些司法管轄區不允許限制或排除附帶或間接損害的責任,因此上述限制可能不適用於您。
1.12.3 [本公司]及其第三方授權人對所有索賠和責任(包括直接損害賠償和任何賠償保證下的義務,無論是否已投保)的最大累計責任,將不超過為引起索賠或責任的軟體在第一個責任事件之前十二 (12) 個月內支付的授權費用(如有)。
1.12.4 無論本協議或您與[本公司]之間的任何其他協議中是否有任何相反規定,無論訴訟形式為何,無論是合約、侵權行為還是其他形式,本協議中的所有免責聲明和救濟和/或責任限制均適用,並進一步延伸至 [本公司]的附屬公司、供應商、指定經銷商和其他授權經銷商作為第三方受益人的利益。
1.13 無高風險使用。本軟體並非容錯軟體,且並非設計、製造或擬用於在需要故障安全性能的危險環境中使用或轉售,在此類環境中,軟體的故障可能導致死亡、人身傷害或嚴重的物理或環境損害(「高風險活動」)。除非[本公司]事先書面同意並就具體的軟體部署進行諮詢,否則軟體的使用不包括任何高風險活動,您 (i) 不得將本軟體用於任何高風險活動,且 (ii) 應就與此類高風險活動相關的所有損失、索賠、損害賠償、成本、律師費及其他費用對[本公司]、其關聯公司及其授權方進行賠償、抗辯並使其免受損害。
1.14 機密資訊。除本「協議」明確授權外,任何一方不得使用或披露任何機密資訊,並應以保護其自身類似有價值專有資訊的同等謹慎程度保護所有此類機密資訊,但在任何情況下,其保護措施不得低於合理審慎的企業在類似情況下應採取的措施。雙方均應迅速採取適當行動,防止未經授權的使用或揭露機密資訊。每一方同意向另一方提供合理通知,告知其任何實際發生或未遂的未經授權使用或披露機密資訊的情況。
1.15 適用法律。本協議受中華民國法律管轄,您同意與本協議有關之爭議,以臺灣新北地方法院為第一審管轄法院。
1.16 不可抗力。[本公司]對於因超出其合理控制範圍的原因(包括但不限於天災、您的行為或疏漏、民事或軍事當局的行為、火災、罷工、洪水、流行病、檢疫限制、戰爭、暴亂、恐怖主義行為、網路攻擊、元件或材料短缺、運輸延誤或運輸禁運)而導致其(或其分包商)未能履行本合約所產生的任何損失、損害或延誤概不負責。若發生此類延誤,[本公司]的交付日期(如有)將在合理必要的時間內延長,以補償延誤。
1.17 語言。雙方確認已要求在此證明的協議以繁體中文起草。若繁體中文版本與其他語言版本發生衝突,則以繁體中文版本為準。
第 2 條 – 雲端服務
2.1 定義。
2.1.1 存取憑證:任何使用者名稱、識別碼、密碼、許可或安全金鑰、安全權杖、PIN 碼或其他安全碼、方法、技術和/或裝置,用於單獨或組合驗證個人和/或設備的身份,以及存取和/或使用雲端服務的授權,無論是由您指定的,還是[本公司]應您的要求指定的。
2.1.2 可用性要求:適用訂購單中提供的標準服務可用性要求。
2.1.3 計劃:[本公司]針對適用雲端服務的災難復原計劃。
2.2 使用存取憑證。本節適用於訂購單需要存取憑證的雲端服務。在此情況下,明確禁止任何授權使用者與任何其他個人、實體或裝置共用指定的存取憑證。您有責任讓您的授權使用者遵守本協議,聲明並保證每位授權使用者不會共用任何存取憑證。
2.3 您的資料位置。根據適用的法律法規,[本公司]可能會在 [本公司]或其代理商維護的設施的任何位置處理和儲存您的資料。透過使用雲端服務,您同意對您的資料進行此類處理和儲存。
2.4 連接性。您和您的授權使用者應自行負責存取雲端服務所需的所有電信或網路連線,以及您及其設施所需的所有硬體和軟體。除可能適用的其他第三方費用外,您還需負責支付存取雲端服務所需的所有電信成本、費用和服務。
2.5 資料保證。您聲明並保證,您對您的資料擁有足夠的權利,以便 [本公司]履行其在協議和訂購單下的義務,且存取和使用您的資料不會侵犯或違反任何協定、保密義務、私隱權或任何第三方的智慧財產權。
2.6 可接受的用途。您不得 (a) 上載、張貼、以電子郵件傳送或以其他方式傳輸任何非法、有害、威脅、恐嚇、辱罵、騷擾、侵權、誹謗、貶損、粗俗、猥褻、誹謗、侵犯他人隱私、不尊重、仇恨或種族、民族或其他方面令人反感的內容;(b) 假冒任何個人或實體,或虛假陳述或以其他方式歪曲其與個人或實體的從屬關係,或編造虛假身份;(c) 偽造標頭或以其他方式篡改識別碼,以掩飾透過雲端服務傳輸的任何內容的來源;(d) 上載、張貼、以電子郵件傳送或以其他方式傳輸任何違反適用法律的內容,包括侵犯任何一方的任何專利、商標、商業秘密、版權或其他專有權利;(e) 上載、張貼、以電子郵件傳送或以其他方式傳輸任何包含惡意程式碼的資料;(f) 干擾或破壞雲端服務或與雲端服務相連接的網路,或不遵守與雲端服務相連接的網路的任何要求、程序、政策或規定。

第 3 條 – 內部部署軟體
3.1 定義。

3.3 複製/設計限制。

3.3.1.2 您可以製作本軟體的複本,用於在您的組織內安裝軟體,前提是您已為此軟體複本購買了授權。

3.4 使用限制。

3.4.2 若指定了「指定地點」,您僅能在指定地點使用本軟體。
3.4.3 若指定了「指定裝置」,您僅能在指定裝置上使用本軟體。
3.4.4 您可以下載和使用[本公司]產品的軟體,惟前提是該產品必須直接從[本公司]授權的來源合法取得,且沒有未經授權的修改。您有所認知任何未經授權而對[本公司]產品進行的修改可能會導致該產品和軟體無法運作。嚴禁以所有其他方式下載和使用本軟體。例如,若您從未經授權的來源(如未經授權的線上經銷商)獲得[本公司]產品,則您沒有下載任何資料的授權,包括軟體和韌體更新,且禁止使用此類資料。

Software and Cloud Services Agreement
To assist you in better understanding the Software and Cloud Services Agreement of Wuwei Intelligence Ltd. (hereinafter referred to as [the Company]), we provide this overview. This Agreement includes:
• Article 1: Structure; General Terms – Specific software legal terms and general business/legal terms applicable to all [the Company] software and cloud services agreements.
• Article 2: Cloud Services – Specific terms applicable only to [the Company]’s cloud service products.
• Article 3: On-Premises Software – Specific terms applicable only to [the Company]’s on-premises software products installed at your facilities.
Article 1 – Structure
1.1 Structure of the Agreement
This Agreement is a legal contract between you (an individual or a single entity) and [the Company]. This Agreement grants you the rights to use the software. The Order Form confirms the software covered by this Agreement, including any specific terms agreed upon between you and [the Company]. Each Order Form is part of this Agreement and incorporated herein. In the event of a conflict between the Order Form and this Agreement, the Order Form shall prevail. If the Order Form explicitly references and incorporates an existing agreement between the parties, the terms of that agreement shall prevail only if they conflict with the general business/legal terms of Part B of Article 1 of this Agreement.
Acceptance
[The Company] will only provide the software and/or cloud services to you if you accept and comply with all the terms and conditions of this Agreement. By downloading, installing, copying, or otherwise using the software and/or cloud services, you acknowledge and agree to be bound by the terms of this Agreement. If you are accepting these terms on behalf of another person, company, or legal entity, you represent and warrant that you have full authority to bind the person, company, or legal entity to these terms. If you do not agree to these terms, do not download, install, copy, access, or use the software and/or cloud services.
Article 1 – General Terms
Part A – Specific Software Legal Terms
1.2 Common Terms; Definitions
1.2.1 Affiliate: An entity directly or indirectly controlled by, under common control with, or controlling a party, where “control” means ownership of fifty percent (50%) or more of the total issued equity, voting rights, or similar interests of the relevant entity.
1.2.2 Agreement: This Software and Cloud Services Agreement, Terms of Use, and any Order Forms.
1.2.3 Cloud Services: Software-as-a-Service products confirmed in the Order Form, accessible to you via the internet.
1.2.4 Auxiliary Software: Examples, utilities, plugins, user interface components, and/or reports provided for your convenience, not included in standard software products, and offered free of charge.
1.2.5 Confidential Information: (i) The Software; (ii) Technology, ideas, proprietary techniques, documentation, processes, algorithms, and trade secrets contained in the Software; (iii) Any software keys related to the Software; (iv) Any other information identified as “Confidential,” “Proprietary,” or marked similarly upon disclosure, whether written or electronic; and (v) Electronic data and information submitted by you or on your behalf to the Cloud Services.
1.2.6 Designated Location: The location, equipment, and/or applications owned and operated by you as specified in the Order Form, activation certificate, or other agreements between the parties.
1.2.7 Documentation: The most recent documentation related to the Software typically provided or supplied to you by [the Company].
1.2.8 Equipment: Any physical assets, subcomponents, or combinations thereof.
1.2.9 Features: Additional functionalities.
1.2.10 Malicious Code: Software viruses, worms, or any other computer code, files, or programs designed to disable, disrupt, damage, redirect, monitor other users’ usage, restrict, or otherwise inhibit the functionality of any computer software, hardware, or telecommunications equipment.
1.2.11 On-Premises Software: Software installed and executed on computers or devices located at your premises or facilities, rather than Cloud Services.
1.2.12 Order Form: Ordering documents provided by [the Company], including quotations, specifying the software purchased, term of use, usage type, and other relevant terms agreed upon between you and [the Company].
1.2.13 Authorized User: Individuals authorized by you or devices accessing and/or using the Software, entitled to use the Software under the terms of this Agreement and the applicable Order Form. Authorized Users are limited to your employees, consultants, subcontractors, suppliers, business partners, and customers using the Software to support your internal business purposes.
1.2.14 Pre-Release Software: Beta or other pre-release software provided by [the Company].
1.2.15 Reseller/VAR Product: Products integrated with the Software by System Integrators (“SI”) or Value-Added Resellers (“VAR”).
1.2.16 Wuwei Intelligence Ltd.: [the Company], a Taiwan-based company, and its Affiliates (including Affiliates identified in the Order Form or executing the Order Form), with its principal place of business at 5F, No. 661, Bannan Road, Zhonghe District, New Taipei City, Taiwan.
1.2.17 Software: [the Company]’s computer software, programs, technologies, Cloud Services, Auxiliary Software, firmware, related media, related documentation, and any updates, upgrades, enhancements, or portions thereof, including revisions or modifications.
1.2.18 Support Services: Support and maintenance services described in [the Company]’s current maintenance and support plan, including updates, upgrades, or enhancements to the Software.
1.2.19 Term: The period specified in the activation certificate or Order Form.
1.2.20 Third-Party Software: Non-[the Company]-branded software provided with or as part of the Software.
1.2.21 Trial Software: Software (including Cloud Services) provided on a limited trial basis free of charge.
1.2.22 Usage Type: For on-premises software, named user, device use, site use, capacity-based use, feature use, or subscription license; for Cloud Services, subscription-based access. “Usage Type” may be used alone or in combination with other “Usage Types.”
1.2.23 You: The individual or single entity purchasing the Software.
1.3 Authorized Use
1.3.1 License or Usage Rights
Subject to your compliance with all terms and conditions of this Agreement, timely payment of applicable license fees or subscription fees, and adherence to any activation procedures, [the Company] and its third-party licensors grant you a limited, personal, non-transferable, non-exclusive license, or, in the case of Cloud Services, the right to download, install, and/or use the Software during the Term according to the Documentation and relevant Order Form for your internal business purposes. You are responsible for ensuring that your employees and Authorized Users comply with all relevant terms of this Agreement; any non-compliance constitutes a breach by you. Authorized Users may only use the Software for your internal business purposes.
1.3.2 Reseller/VAR Products
If you are an SI or VAR, and you have integrated the Software into Reseller/VAR Products for resale to your end customers rather than as a standalone product or service, you may transfer the Software to end customers only if (i) your end customers accept this Agreement; and (ii) you complete the Software transfer registration notice provided by [the Company] in writing. If you are an end customer receiving Reseller/VAR Products, you acknowledge and agree that: (i) you have accepted and are bound by this Agreement; (ii) the SI or VAR has no authority to modify or amend this Agreement, nor to provide any warranties or representations regarding the Software; (iii) [the Company]’s sole obligations regarding the Software are set forth in this Agreement; and (iv) if the Reseller/VAR Product is defective or incompatible with the Software, you must seek remedies from the SI or VAR.
1.3.3 Software Changes
[The Company] or its suppliers may make changes to the Software from time to time. Changes to Cloud Services will be deployed by [the Company]. Changes to on-premises software will be provided to you under a valid support services agreement for installation. If you have paid for the Software, [the Company] will make reasonable efforts to notify you in advance of any significant changes to the Software.
1.3.4 Management
Using the Software may require a user account. You are responsible for all activities occurring under your user account. You are responsible for identifying and verifying all users, approving their access, and controlling unauthorized access to your user account. You are responsible for maintaining the confidentiality of user account information and passwords. [The Company] will rely on any information received from individuals or entities using your user account and password, and [the Company] will not be liable for relying on such information. [The Company] is not responsible for any damages caused by your users (including unauthorized individuals accessing the Software). If you discover any unauthorized use of your password or user account, you must promptly notify [the Company].
1.3.5 Authorized Users
You are responsible for all actions taken by Authorized Users in connection with the use of the Software. You are obligated to ensure that Authorized Users comply with all relevant terms of this Agreement and the applicable Order Form. Any failure to comply constitutes a breach of this Agreement by you. No Authorized User shall be considered a third-party beneficiary under this Agreement.
1.4 Restrictions
1.4.1
You shall not disassemble, reverse engineer, decompile, modify, translate, create derivative works, or make improvements to the Software, except to the extent expressly permitted by applicable law. You shall not circumvent or bypass any technical limitations in the Software or Cloud Services, including but not limited to any passwords or other security protections.
1.4.2
Unless explicitly stated herein, you shall not sublicense, rent, resell, lease, lend, transfer, or otherwise provide the Software or any of its features or functionalities to any third party for any reason.
1.4.3
You shall not use the Software for benchmarking or other competitive purposes.
1.4.4
You shall not remove, minimize, block, or modify any logs, trademarks, copyrights, or other notices included in the Software by [the Company] or its licensors.
1.4.5
You shall not use the Software to create training data for software to be sold, licensed, used, or distributed, except for internal use documentation and screenshots of your software applications. You are fully responsible for any such training materials you generate.
1.4.6
You shall not use the Software in violation of the metering and usage restrictions (including Authorized Users) specified in the Order Form.
1.4.7
You shall not use hardware, software, or programming techniques to pool connections, re-route information, or reduce the number of licenses required for direct access to or use of the Software.
1.4.8
You shall not use the Software to process or store government-classified, top-secret, or controlled data as defined by applicable government laws or regulations.
1.4.9
You shall not use any tools, interfaces, utilities, programming techniques, or command-line functionality for any purpose not authorized by [the Company].
1.4.10
You shall not use the automated interfaces or other programmatic interfaces contained in the Software with any third-party software not authorized in writing by [the Company], including but not limited to change management systems.
1.5 Pre-Release Software; Trial Software; Auxiliary Software
1.5.1
For your convenience, [the Company] may provide you with access to Pre-Release Software for previewing new features and capabilities, Trial Software for testing and evaluating the Software, or Auxiliary Software for example purposes or to provide additional supplemental functionality. Pre-Release Software, Trial Software, and Auxiliary Software may be subject to additional terms of use. You must accept these terms (if any) to use such software. The use of Pre-Release Software, Trial Software, and Auxiliary Software is at your discretion.
Unless otherwise agreed in writing by both parties, you are granted a thirty (30) day usage period for Trial Software starting from the date it is first made available to you.
1.5.2
You may modify Auxiliary Software provided in the form of example or reusable application code and create derivative works, but only for purposes related to the Software for which the Auxiliary Software is provided.
1.5.3
All use of Pre-Release Software, Trial Software, and Auxiliary Software is subject to the terms and conditions of this Agreement related to the Software; however, all Pre-Release Software, Trial Software, and Auxiliary Software are provided “AS IS,” with no guarantees of technical support or future enhancements, and are not included in [the Company]’s standard software support services. [The Company] disclaims all liabilities and warranties related to Pre-Release Software, Trial Software, and Auxiliary Software, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title, and non-infringement. All risks and responsibilities associated with the use of such software are borne solely by you.
Under this section, your sole and exclusive remedy for any issues with the Software, and [the Company]’s sole and exclusive liability, shall be for you to discontinue use of the Software. You waive all current and future claims against [the Company] related to Pre-Release Software, Trial Software, and Auxiliary Software.
1.6 Third-Party Software or Services
The Software may incorporate, embed, include, or bundle third-party software or services, which may require you to accept notices and/or additional terms and conditions and be bound by them. The required third-party notices and/or additional terms and conditions are identified in the applicable Order Form, or in the “Help” or “About” screens of the Software, license.txt or readme text files, or as part of the Cloud Services, and are incorporated into this Agreement by reference. Additionally, third-party products purchased separately or bundled may include their own terms and conditions, which shall govern their use. By accepting this Agreement, you agree to review such terms and conditions (if applicable), and your use of the Software constitutes acceptance of such terms and conditions.
1.7 Support Services
Support services (if any) will be specified in the applicable Order Form.
1.8 Limited Warranty; Exclusive Remedies; Disclaimer
1.8.1 Limited Warranty
Section 3.6 of Article 3 provides [the Company]’s sole limited warranty (“Limited Warranty”) for the Software. In the event of a breach of the Limited Warranty, [the Company]’s sole obligation and liability, and your sole remedy, shall be for [the Company] to make commercially reasonable efforts to:
(i) Repair or replace the Software to conform to the applicable Limited Warranty;
(ii) Identify or provide a workaround or alternative solution that achieves substantially the same results or functionality; or, if [the Company] fails to resolve the issues described in (i) or (ii),
(iii) Terminate this Agreement and the applicable Order Form related to the nonconforming Software and refund to you a prorated portion of any prepaid fees for the nonconforming Software. In such cases, your license to use the relevant Software will immediately terminate.
The foregoing warranty shall be void if you attempt to modify the Software in any way, use the Software in a manner not described in the Documentation, or breach this Agreement.
[The Company] makes no express or implied representations or warranties that the Software will operate uninterrupted or error-free, or that the functionalities contained in the Software will meet or satisfy your intended use or requirements. You assume full responsibility for decisions or actions taken based on information obtained through the use of the Software.
Additionally, due to the evolving nature of new technologies for network intrusion and attacks, [the Company] does not guarantee that the Software or any devices, systems, or networks using the Software will be immune to intrusion or attack.
1.8.2
To the maximum extent permitted by law, the Limited Warranty supersedes all other express or implied warranties, and [the Company] and its licensors disclaim any and all implied warranties or conditions, including (but not limited to) any warranties of title, non-infringement, merchantability, or fitness for a particular purpose. Any oral or written information, marketing or promotional materials, or advice provided by [the Company] or its authorized representatives shall not constitute any additional warranties, expand the scope of the express warranties agreed upon in this section, or modify [the Company]’s obligations under this Agreement in any way.
1.8.3
The Software may be used to access and transmit information over a network or in conjunction with hardware and other products connected to a network. You acknowledge and agree that [the Company] and its licensors do not operate or control the network, and that: (i) malicious code; or (ii) unauthorized users (such as hackers) may attempt to access and compromise your data, confidential information, websites, computers, or networks. [the Company] and its licensors are not responsible for such activities.
1.8.4
Certain jurisdictions do not allow the exclusion of implied warranties; therefore, the above exclusions may not apply to you. This warranty gives you specific legal rights, and you may also have other rights that vary by jurisdiction.
1.9 Intellectual Property
1.9.1 Software
The Software is protected by copyright laws and other intellectual property laws and treaties. [The Company] or its licensors retain ownership, copyrights, and other intellectual property rights in the Software (including licensed copies). Except for the limited license granted under this Agreement, you do not acquire any express or implied rights. The Software is licensed or provided under a grant of rights, not sold. Nothing in this Agreement constitutes a waiver of any rights under the copyright laws of the Republic of China or international copyright laws, or any other applicable laws.
1.9.2 Feedback
You may provide suggestions, comments, or other feedback regarding the Software to [the Company]. Providing feedback is entirely voluntary. [The Company] may use such feedback for any purpose, including improving the Software, without any obligation or restriction of any kind.
1.9.3 Data Usage
Except for the limited license granted below, you retain all rights, ownership, and interests in any data and information you provide to the Software (“Your Data”), including but not limited to the use of such data. You grant [the Company[ a non-exclusive, fully paid-up, worldwide, perpetual license to:
(i) Use Your Data in connection with the Software and/or services provided by [the Company] under this Agreement, including improving [the Company]’s products, software, and services;
(ii) Use Your Data for [the Company]’s sales and services, provided that Your Data is anonymized and does not include your confidential information or personal data; and
(iii) Use statistical and aggregated data derived from Your Data (including data obtained from your use of the Software and any related clients, devices, and servers) for [the Company]’s business purposes, provided that Your Data is anonymized and does not include your confidential information or personal data.
You are responsible for obtaining all rights, permissions, licenses, and authorizations necessary to provide Your Data for the purposes contemplated under this Agreement.
1.10 Term and Termination
1.10.1 Initial and Renewal Term
This Agreement becomes effective upon your execution of the Order Form or your download, installation, copying, access, or other use of the Software, and remains in effect for the usage period specified in the applicable Activation Certificate or Order Form (the “Initial Term”), unless terminated earlier in accordance with this Agreement. After the Initial Term, the usage period for each Software product will automatically renew for the renewal term specified in the renewal Order Form (each, a “Renewal Term”), unless either party provides written notice to the other at least ninety (90) days prior to the expiration of the then-current term of its intent not to renew and terminate this Agreement. The usage period refers to the Initial Term and any Renewal Term as provided in this section.
1.10.2 Termination
You may terminate this Agreement at any time by providing ninety (90) days’ prior written notice and either:
(i) Destroying all copies of the Software in your possession, or
(ii) Ceasing use of the cloud services;
Unless otherwise specified in the Order Form, all fees paid are non-refundable, and subscription fees will remain due for the remainder of the subscription term. If you breach any term of this Agreement and fail to remedy such breach within thirty (30) days after [the Company] sends notice (unless the breach is incapable of remedy, in which case termination will be immediate), [the Company] may terminate this Agreement. You agree to cease using the Software upon termination of this Agreement and either return or destroy all copies of the Software in your possession to [the Company]. If the Software is licensed to you as a subscription service or for a limited usage period, this Agreement will terminate upon the expiration of the usage period. Termination of this Agreement will automatically terminate all licenses granted herein. Provisions related to intellectual property protection, use of anonymized and statistical data, confidentiality, disclaimers, and limitations of liability, as well as any other provisions necessary to achieve the fundamental purposes of this Agreement, shall survive the termination or expiration of this Agreement. Any termination or expiration of this Agreement will not relieve you of payment obligations for the remainder of the then-current usage term. However, if termination occurs due to [the Company]’s breach or under the warranties and indemnities section of Clause 1, [the Company] will refund the unused portion of any prepaid fees. Such refund shall constitute your sole and exclusive remedy and [the Company]’s sole and exclusive liability.
1.10.3 Data Privacy
[The Company] processes your data in accordance with our Privacy Policy or Terms and Conditions. If any applicable law restricts or prohibits the collection, use, or other processing of your data without additional terms and conditions, you agree to be bound by [the Company]’s then-current Privacy Policy or Terms related to [the Company]’s collection, use, and other processing of your data, as may be amended from time to time. The Privacy Policy or Terms are part of this Agreement and are governed by this Agreement as if set forth herein.
1.10.4 General Information
This Agreement constitutes the complete and exclusive agreement between [the Company] and you, superseding all prior written or oral agreements related to the Software. Any additional or different terms and conditions provided in any purchase order or other similar document from you shall not be binding on [the Company] and are deemed rejected. No modification or amendment to this Agreement shall be valid unless made in writing and signed by an authorized representative of [the Company]. If any provision or part of this Agreement is deemed unenforceable by a court of competent jurisdiction for any reason, that provision shall be enforced to the maximum extent permissible to achieve the intent of the parties, and the remainder of this Agreement shall remain in full force and effect. This Agreement may be accepted electronically, and your acceptance shall be binding between the parties. You agree not to contest the validity or enforceability of this Agreement on the grounds that it was accepted electronically.
Part B – General Commercial/Legal Terms
1.11 Fees and Taxes
You shall pay [the Company] the applicable Software fees within thirty (30) days from the date of invoice and in accordance with the payment terms determined by [the Company] or as otherwise explicitly agreed upon by both parties in the Order Form. Unless explicitly stated in this Agreement or the Order Form, all fees are non-refundable and non-cancellable.
1.12 Limitation of Liability
1.12.1
To the maximum extent permitted by applicable law, [the Company] or its third-party licensors shall not be liable for any special, incidental, indirect, punitive, or consequential damages (including but not limited to loss of profits, loss of confidential or other information or data, business interruption, loss of savings, loss of privacy, and any other monetary or other losses), even if [the Company] or its resellers have been advised of the possibility of such damages.
1.12.2
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.
1.12.3
The maximum aggregate liability of [the Company] and its third-party licensors for all claims and liabilities (including direct damages and obligations under any indemnity, whether insured or not) shall not exceed the license fees paid for the Software causing the claim or liability during the twelve (12) months preceding the first event giving rise to liability (if any).
1.12.4
Notwithstanding any contrary provision in this Agreement or any other agreement between you and [the Company], all disclaimers, remedies, and/or limitations of liability in this Agreement shall apply and extend further to [the Company]’s affiliates, suppliers, designated distributors, and other authorized resellers as third-party beneficiaries.
1.13 No High-Risk Use
The Software is not fault-tolerant and is not designed, manufactured, or intended for use or resale in hazardous environments requiring fail-safe performance, where the failure of the Software could lead to death, personal injury, or severe physical or environmental damage (“High-Risk Activities”). Unless [the Company] has provided prior written consent and consultation regarding specific Software deployment, the use of the Software does not include any High-Risk Activities, and you (i) shall not use the Software for any High-Risk Activities, and (ii) shall indemnify, defend, and hold harmless [the Company], its affiliates, and its licensors from all losses, claims, damages, costs, attorney’s fees, and other expenses related to such High-Risk Activities.
1.14 Confidential Information
Except as expressly authorized in this Agreement, neither party shall use or disclose any Confidential Information and shall protect all such Confidential Information with the same degree of care as it uses to protect its own similar valuable proprietary information, but in no event less than the reasonable care that a prudent enterprise should take under similar circumstances. Both parties shall promptly take appropriate action to prevent unauthorized use or disclosure of Confidential Information. Each party agrees to provide reasonable notice to the other party of any actual or attempted unauthorized use or disclosure of Confidential Information.
1.15 Governing Law
This Agreement shall be governed by the laws of the Republic of China. You agree that any disputes arising out of or in connection with this Agreement shall be subject to the jurisdiction of the Taiwan New Taipei District Court as the court of first instance.
1.16 Force Majeure
[The Company] shall not be liable for any loss, damage, or delay resulting from causes beyond its reasonable control, including but not limited to acts of God, acts or omissions of you, acts of civil or military authorities, fires, strikes, floods, epidemics, quarantine restrictions, wars, riots, acts of terrorism, cyber-attacks, shortages of components or materials, transportation delays, or embargoes. In the event of such delays, [the Company]’s delivery dates (if any) shall be extended by a period reasonably necessary to compensate for the delay.
1.17 Language
Both parties acknowledge that they have requested that this Agreement be drafted in Traditional Chinese. In the event of a conflict between the Traditional Chinese version and any other language version, the Traditional Chinese version shall prevail.
Article 2 – Cloud Services
2.1 Definitions
2.1.1 Access Credentials:
Any username, identifier, password, license or security key, security token, PIN, or other security codes, methods, technologies, and/or devices used, either individually or in combination, to authenticate the identity of individuals and/or devices and authorize access to and/or use of the Cloud Services, whether designated by you or designated by [the Company] upon your request.
2.1.2 Availability Requirements:
The standard service availability requirements provided in the applicable Order Form.
2.1.3 Plan:
The disaster recovery plan established by [the Company] for the applicable Cloud Services.
2.2 Use of Access Credentials
This section applies to Cloud Services requiring access credentials as specified in the Order Form. In such cases, any authorized user is expressly prohibited from sharing designated access credentials with any other individual, entity, or device. You are responsible for ensuring your authorized users comply with this Agreement and represent and warrant that each authorized user will not share any access credentials.
2.3 Your Data Location
Subject to applicable laws and regulations, [the Company] may process and store your data at any location within facilities maintained by [the Company] or its agents. By using the Cloud Services, you consent to such processing and storage of your data.
2.4 Connectivity
You and your authorized users are solely responsible for all telecommunications or network connections required to access the Cloud Services, as well as all hardware and software necessary at your facilities. In addition to any applicable third-party fees, you shall be responsible for all telecommunications costs, fees, and services required to access the Cloud Services.
2.5 Data Warranty
You represent and warrant that you have sufficient rights to your data to enable [the Company] to fulfill its obligations under this Agreement and the Order Form, and that access to and use of your data will not infringe or violate any agreement, confidentiality obligations, privacy rights, or intellectual property rights of any third party.
2.6 Acceptable Use
You shall not:
(a) Upload, post, email, or otherwise transmit any content that is illegal, harmful, threatening, intimidating, abusive, harassing, infringing, defamatory, disparaging, vulgar, obscene, libelous, invasive of another’s privacy, disrespectful, hateful, or objectionable in terms of race, ethnicity, or other aspects;
(b) Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity, or fabricate a false identity;
(c) Forge headers or otherwise manipulate identifiers to disguise the origin of any content transmitted through the Cloud Services;
(d) Upload, post, email, or otherwise transmit any content that violates applicable laws, including infringing any party’s patents, trademarks, trade secrets, copyrights, or other proprietary rights;
(e) Upload, post, email, or otherwise transmit any data containing malicious code;
(f) Interfere with or disrupt the Cloud Services or networks connected to the Cloud Services, or fail to comply with any requirements, procedures, policies, or regulations of networks connected to the Cloud Services.
2.7 Your Indemnification
You shall defend, indemnify, and hold harmless [the Company] and its licensors from any liabilities, damages, penalties, fines, and costs arising from:
(a) The use of your data in accordance with this Agreement, including your failure to comply with the requirements of the “Data Warranty” and “Acceptable Use” sections of this clause; or
(b) Your breach of this Agreement or the Order Form while using the Cloud Services.
2.8 Monitoring
You acknowledge that [the Company] or a third party acting on behalf of [the Company] may monitor your access to and use of the Cloud Services to ensure compliance with this Agreement and the Order Form to the extent necessary.
2.9 Information Security
In accordance with applicable laws and [the Company]’s then-current practices and procedures, [the Company] shall maintain and implement administrative, technical, and physical safeguards designed to reasonably protect the confidentiality, availability, and integrity of your data stored in the Cloud Services. [the Company] will report any confirmed security breaches affecting your data.
2.10 Limited Warranty – Cloud Services
The Cloud Services are warranted to strictly conform to their documentation during the applicable usage term. [the Company] will use commercially reasonable efforts to identify and remove any malicious code from the Cloud Services. This warranty will be void if you attempt to modify the Cloud Services in any way or use the Cloud Services in violation of this Agreement.
2.11 Availability
[the Company] will use commercially reasonable efforts to ensure the Cloud Services are accessible and usable by you at least 99% of the time on a monthly average during the applicable usage term (as described in this Agreement and the Order Form) or as otherwise stipulated in the Order Form (“Availability Requirements”), excluding any permitted downtime. “Permitted Downtime” includes planned interruptions (defined below) and any downtime caused by reasons beyond [the Company]’s reasonable control, including but not limited to: any software, hardware, or telecommunications failure; interruptions or failures in telecommunications or digital transmission links; network slowdowns or failures; failures or default of third-party software, suppliers, or products; and downtime caused by your actions or omissions or failures in your communication links or systems. “Planned Interruptions” refer to periods during which [the Company] performs system maintenance, as well as any circumstances requiring emergency maintenance. [the Company] will use reasonable efforts to schedule planned interruptions during off-peak hours. If the Availability Requirements are not met, [the Company] will use commercially reasonable efforts to promptly rectify the disruption. If [the Company] fails to meet the Availability Requirements for two (2) consecutive months during the applicable usage term, you may terminate the applicable Cloud Services within thirty (30) days following the end of the second consecutive month without further obligation and receive a prorated refund of any prepaid, unused recurring fees for the terminated Cloud Services. The refund shall constitute your sole and exclusive remedy and [the Company]’s sole and exclusive liability for failure to meet the Availability Requirements.
2.12 Disaster Recovery
[the Company] has established and implemented a plan for the Cloud Services. [the Company] will periodically test and reassess the plan in accordance with its then-current practices.
2.13 Suspension or Termination
If [the Company] reasonably believes that:
(i) You have breached this Agreement or the Order Form;
(ii) It is necessary or prudent to prevent harm or disruption to the Cloud Services;
(iii) The Cloud Services are no longer commercially viable; and/or
(iv) It is necessary or prudent to protect [the Company] from potential liability, including compliance with applicable laws,
[the Company] may suspend or terminate your access to the Cloud Services at any time. [the Company] will use reasonable efforts to notify you via the phone, email address, or other communication methods associated with your user account. Upon termination or expiration of this Agreement, you will have ten (10) days to use the inherent functionalities of the Cloud Services to download a copy of your data in a format supported by the Cloud Services at that time. Thereafter, [the Company] may delete or make inaccessible any of your data stored in the Cloud Services, and [the Company] shall not be liable for deleting your data.
2.14 Data Overages
If you exceed the authorized usage volume specified in the Cloud Services Order Form, [the Company] reserves the right to charge you additional fees.
2.15 Applicability
This Agreement and the Order Form constitute an agreement between [the Company] and you, regardless of whether you purchased directly from [the Company] or through any authorized distributor or other authorized reseller. No distributor shall have the authority to modify this Agreement or the Order Form.
Article 3 – On-Premises Software
3.1 Definitions
3.1.1 Activation Certificate: Documentation accompanying the Software that contains “Your Software Activation Key” along with specific information regarding the “Type of Use” and “Usage Term.”
3.1.2 Activation Key: An alphanumeric code enabling you to activate and use the Software.
3.1.3 Capacity: The specific authorized size standards described in the Activation Certificate or Order Form, including but not limited to the number of devices, I/O quantity, platform quantity, session quantity, tag quantity, screen quantity, related device quantity, processor quantity, and/or other units of use.
3.1.4 Client: Devices that directly or indirectly execute, access, or use the Software on a server.
3.1.5 Device: Any physical or virtual environment, node, server, computer, or other digital workstation, electronic, mobile phone, or computing equipment that executes, accesses, or uses the Software services.
3.1.6 Server: Any device hosting the Software and accessible for execution, access, or use by other devices.
3.2 Types of Use
3.2.1 Named Use: Authorization or rights for the Software to be used solely by designated individuals.
3.2.2 Concurrent Use: Authorization or rights for the Software to be used by a specified number of users, provided that the number of users accessing or using the Software simultaneously does not exceed the valid Software activation quantity confirmed in the Order Form.
3.2.3 Device Use: Authorization or rights to use the Software on any device hosting the Software, which can be executed, accessed, or used by other devices.
3.2.4 Location Use: Authorization or rights for your employees or authorized contractors to use the Software at a designated location, with no limit on the number of users.
3.2.5 Capacity-Based Use: Authorization or rights to use the Software based on capacity.
3.2.6 Usage Capability: Authorization or rights required for each function directly or indirectly executed, accessed, or utilized by the Software.
3.3 Copy/Design Restrictions
3.3.1
Except as permitted under this section, you may not copy the Software.
3.3.1.1
You may make copies of the Software solely for archival purposes to internally back up the Software.
3.3.1.2
You may make copies of the Software for installation within your organization, provided you have purchased a license for such Software copies.
3.3.1.3
With prior written consent from [the Company], you may copy Software images, provided you have purchased the necessary licenses for such Software image copies.
3.3.2
You shall retain and reproduce all copyright or ownership notices in their original form on all allowed copies of the Software (including partial copies).
3.3.3
If you upgrade or update the Software to a newer version, you may not transfer the previous version to other users.
3.4 Usage Restrictions
3.4.1
You may not use, provide, or commercially host the Software as an application service provider or similar entity for other third parties.
3.4.2
If a “Designated Location” is specified, you may only use the Software at the designated location.
3.4.3
If a “Designated Device” is specified, you may only use the Software on the designated device.
3.4.4
You may download and use [the Company]’s product Software, provided that such products are lawfully obtained directly from [the Company]’s authorized sources without unauthorized modifications. You acknowledge that any unauthorized modifications to [the Company]’s products may render the products and Software non-functional. All other methods of downloading and using the Software are strictly prohibited. For example, if you obtain [the Company]’s products from unauthorized sources (such as unauthorized online resellers), you are not authorized to download any data, including Software and firmware updates, and are prohibited from using such data.
3.4.5
You may not use the Software’s components separately and independently.
3.4.6
At any given time, you may only install the Software on one architecture and one operating system.
3.5 Disaster Recovery
You are responsible for establishing your own disaster recovery plan, including but not limited to ensuring secure access and backup of data.
3.6 Limited Warranty – On-Premises Software
Software installed at your facilities is warranted to substantially conform to the documentation provided by [the Company] at the time of initial delivery for thirty (30) days following its delivery to you. [the Company] will use commercially reasonable efforts to identify and remove any malicious code from the Software before delivering it to you. If the delivery media of the Software is defective, it will be replaced free of charge if returned within the warranty period.
